Chairman of the Board

Carl C. Icahn has served as Chairman of the Board of Directors of Icahn Enterprises L.P., a diversified holding company engaged in a variety of businesses, including investment, automotive, energy, food packaging, metals, real estate and home fashion. Since 2007, through his position as Chief Executive Officer of Icahn Capital LP, a wholly owned subsidiary of Icahn Enterprises L.P., and certain related entities, Mr. Icahn’s principal occupation has been managing private investment funds, including Icahn Partners LP and Icahn Partners Master Fund LP. Since 1990, Mr. Icahn has been Chairman of the Board of Directors of Starfire Holding Corporation, a privately-held holding company, and Chairman of the Board of Directors of various subsidiaries of Starfire, since 1984. Mr. Icahn was previously: Chairman of the Board of Directors of Tropicana Entertainment Inc., a company that is primarily engaged in the business of owning and operating casinos and resorts, from 2010 until 2018; Chairman of the Board of Directors of CVR Refining, LP, an independent downstream energy limited partnership, from 2013 to 2018; Chairman of the Board of Directors of CVR Energy, Inc., a diversified holding company primarily engaged in the petroleum refining and nitrogen fertilizer manufacturing industries, from 2012 to 2018; President and a member of the Executive Committee of XO Holdings, a competitive provider of telecom services, from 2011 to 2017, and Chairman of the Board of Directors of its predecessors from 2003 to 2011; director of Federal-Mogul Holdings LLC (formerly known as Federal-Mogul Holdings Corporation), a supplier of automotive powertrain and safety components, from 2007 to 2015, and the non-executive Chairman of the Board of Directors of Federal-Mogul from 2008 to 2015; Chairman of the Board of Directors of American Railcar Industries, Inc., a railcar manufacturing company, from 1994 to 2014; a director of American Railcar Leasing LLC, a lessor and seller of specialized railroad tank and covered hopper railcars, from 2004 to 2013; a director of WestPoint Home LLC, a home textiles manufacturer, from 2005 to 2011; and a director of Cadus Corporation, a company engaged in the acquisition of real estate for renovation or construction and resale, from 1993 to 2010. Mr. Icahn received his B.A. from Princeton University.

Director

Denise Barton has served as a director of Icahn Enterprises’ general partner, Icahn Enterprises GP, since September 2019 and was a member of our audit committee from September 2019 until April 2021. Ms. Barton has been Chief Restructuring Officer and Chief Financial Officer of Icahn Automotive Group LLC, an automotive parts installer, retailer and distributor, since July 2021. Ms. Barton has served on the board of directors and audit committee of Viskase Companies, Inc., a subsidiary of Icahn Enterprises, since May 2016 and served on the board of directors and audit committee for Trump Entertainment Resorts, Inc., a subsidiary of Icahn Enterprises, from February 2016 through June 2017. Ms. Barton served as a member of the Operating Executive Board of Gotham Private Equity Partners, LP, a New York based merchant banking firm, from March 2010 through January 2014. Ms. Barton served as the Chief Financial Officer for Land Holdings I, LLC, a company formed to develop, own and operate the Scarlet Pearl Casino Resort, from March 2012 through March 2017. In addition, Ms. Barton has over 15 years’ experience in public accounting and has served as Chief Financial Officer in both public and private companies. Ms. Barton is a certified public accountant and has been licensed by the Nevada State Gaming Control Commission, the New Jersey Casino Control Commission and the Mississippi Gaming Commission.

Director

Nancy Dunlap has served as a director of Icahn Enterprises’ general partner, Icahn Enterprises GP, since April 2021 and is a member of our audit committee. Ms. Dunlap currently serves as the private counsel and head of the private family office of former New Jersey Governor and United States Senator Jon S. Corzine. Since 1999, Ms. Dunlap has overseen all personal investment and legal affairs of the Corzine Family Office. As head of Mr. Corzine’s private family office, Ms. Dunlap also serves as a Trustee of the Jon S. Corzine Trust and as Director of the Jon S. Corzine Foundation. Ms. Dunlap was previously a director of: CVR Refining, LP, an independent downstream energy limited partnership, from July 2018 to February 2019; and Equita Sim, a private investment bank headquartered in Milan, Italy, from November 2010 to September 2015. Ms. Dunlap was also previously a director of Amp Electric Vehicles from March 2010 to September 2012. Ms. Dunlap received a Juris Doctor from St. John’s University School of Law and a Bachelor of Arts from University of Denver.

Margarita Palau-Hernandez is Founder and Chief Executive Officer of Hernández Ventures, a privately held enterprise involved in business and real estate ventures. Ms. Paláu-Hernández serves on the board of directors of Conduent Incorporated. She previously served on the boards of International Flavors and Fragrances, Xerox Holdings Corporation, Apartment Income REIT Corp., Occidental Petroleum, Herbalife Nutrition Ltd., and ALJ Regional Holdings, Inc. In September of 2018, Ms. Paláu-Hernández was nominated to serve as a Representative of the United States of America to the Seventy-third Session of the General Assembly of the United Nations with the personal rank of Ambassador. Prior to founding Hernández Ventures, Ms. Paláu-Hernández was an attorney with the law firm of McCutcheon, Black, Verleger & Shea.

In addition to her professional responsibilities, Ms. Paláu-Hernández serves on the Board of Trustees of the National Museum of the American Latino at the Smithsonian, as Chair of the Yale School of Management Council of Global Advisors, and as an ex-officio board member of the Yale School of Management Board of Advisors. She also serves on the Board of Advisors of Project Dynamo, and the Ronald Reagan UCLA Medical Center Board of Advisors. She previously served as a board member and currently a trustee emeritus of UCLA School of Law Board of Advisors, the University of San Diego Board of Trustees and UCLA Law Women L.E.A.D.

Ms. Paláu-Hernández was born in Mexico where she received her primary and secondary education. She completed her education in the United States, earning a bachelor’s degree, magna cum laude, from the University of San Diego and a Juris Doctor degree from UCLA School of Law.

Director; Chief Executive Officer of Icahn Enterprises

Ted Papapostolou has served as Chief Executive Officer and as a director of Icahn Enterprises L.P. (NASDAQ: IEP), a diversified holding company engaged in a variety of businesses, including investment, energy, automotive, food packaging, real estate, home fashion, and pharma, since May 2026.

Prior to his appointment as Chief Executive Officer, Mr. Papapostolou served as Chief Financial Officer of Icahn Enterprises L.P. since November 2021. He previously served as Chief Accounting Officer of Icahn Enterprises L.P. from April 2020 to December 2023 and held various progressively responsible accounting positions at Icahn Enterprises from March 2007 to March 2020.

Earlier in his career, Mr. Papapostolou worked in the audit practice at Grant Thornton LLP.

Mr. Papapostolou received his M.B.A. from The Peter J. Tobin College of Business at St. John’s University and his B.B.A. from the Frank G. Zarb School of Business at Hofstra University.

Mr. Papapostolou has served as a director of Icahn Enterprises L.P. since December 2021, The Pep Boys—Manny, Moe & Jack since February 2024, and Caesars Entertainment, Inc. (NASDAQ: CZR) since March 2025. He previously served as a director of Viskase Companies, Inc. from 2020 to 2025, including as Chairman from 2023 to 2025, and as a director and Chairman of CVR Energy, Inc. (NYSE: CVI) from 2023 to 2025.

Director; Chief Financial Officer of Icahn Enterprises

Robert E. Flint has served as Chief Financial Officer and as a director of Icahn Enterprises L.P. (NASDAQ: IEP), a diversified holding company engaged in a variety of businesses, including investment, energy, automotive, food packaging, real estate, home fashion, and pharma, since May 2026. Prior to his appointment as Chief Financial Officer, Mr. Flint has served as, and continues to serve as, Chief Accounting Officer since January 2024. Mr. Flint previously served as Director of Accounting from November 2021 to December 2023 and as Chief Audit Executive of the Company from March 2020 to November 2021. Mr. Flint was an independent management consultant from January 2017 to March 2020, serving a variety of clients and industries, including Icahn Automotive Group, LLC, a subsidiary of IEP, from September 2018 to March 2020. Mr. Flint received his B.S. in Accounting and Finance from the University of Dayton School of Business Administration.


Mr. Flint brings extensive experience in corporate finance and accounting, investor relations, risk management, as well as service on the boards of other public and private companies. Mr. Flint has served as director and chairman of CVR Energy, Inc. (NYSE: CVI), a holding company engaged in the renewable fuel and petroleum refining since March 2025, as director and chairman of CVR Partners, LP (NYSE: UAN), a nitrogen fertilizer business since October 2025, as director and chairman of Viskase Holdings, Inc., a global leader in food packaging solutions and services, since March 2026 and previously as director and chairman of Viskase Companies, Inc. from March 2025 to March 2026; as director of Vivus LLC, a pharmaceutical company, since July 2024; as director of WestPoint Home, a leader in innovation, design and fabrication in the textile industry, since July 2024; as director of Icahn Automotive Group LLC, a diversified holding company engaged in automotive services businesses; and has served as director of The Pep Boys-Manny, Moe & Jack, a trusted brand for automobile maintenance and repair services, since July 2024.
